This Independent Contractor Agreement (“Agreement”) is entered into between CrewTaskr (“CrewTaskr,” “Company,” “we,” or “us”) and you, the individual or entity registering as a Worker or performing services through the CrewTaskr platform (“Worker,” “you,” or “your”).

By registering as a Worker, submitting bids, or performing any services through the Platform, you expressly agree to be bound by this Agreement. This Agreement is incorporated into and forms part of the CrewTaskr Terms of Service.

1. Independent Contractor Relationship

​

You are an independent contractor and not an employee, partner, joint venturer, agent, or representative of CrewTaskr. Nothing in this Agreement or your use of the Platform creates an employment relationship, partnership, franchise, joint venture, or agency relationship of any kind.

CrewTaskr operates solely as a technology marketplace that connects Clients with independent Workers. CrewTaskr does not employ Workers, control the manner in which services are performed, or supervise the performance of any job.

2. Worker Control and Flexibility

​

You retain full control and discretion over:

• Whether to use the Platform

• Which jobs to bid on or accept

• The pricing of your services

• Your work schedule and availability

• The methods, techniques, and means of performing services

• Whether to reject any job or Client

​

CrewTaskr does not direct, supervise, or control the manner in which you perform services.

​

3. No Guarantee of Work or Income

​

CrewTaskr makes no guarantees regarding:

• The availability of jobs

• The number or frequency of opportunities

• Any minimum level of earnings or work volume

• Acceptance of your bids

​

Marketplace activity depends entirely on Client demand and competition among Workers. You assume all risk related to your earnings and business opportunities.

4. Worker Responsibilities

​

You are solely responsible for:

• Performing all services in a safe, professional, and workmanlike manner

• Providing all tools, equipment, materials, and transportation necessary to complete jobs

• Obtaining and maintaining all required licenses, permits, certifications, and authorizations

• Complying with all applicable federal, state, and local laws and regulations

• Maintaining adequate insurance coverage (see Section 8)

• Paying all applicable taxes and correctly reporting all income earned through the Platform

5. Payments and Payouts

​

Payments to Workers are processed through Stripe. You must complete Stripe onboarding and maintain accurate payout information.

​

CrewTaskr may deduct applicable platform fees before issuing payouts. You acknowledge that payouts may be delayed or withheld due to disputes, investigations, compliance reviews, or Stripe processing times. CrewTaskr is not responsible for delays caused by Stripe, banks, or incorrect information you provide.

6. Worker Conduct and Compliance

​

You agree not to:

• Misrepresent your skills, qualifications, experience, or identity

• Engage in harassment, discrimination, or abusive behavior toward Clients

• Perform services in a negligent or unsafe manner

• Cause intentional property damage

• Circumvent the Platform’s payment system

• Engage in any fraudulent, illegal, or unethical conduct

• Manipulate ratings, reviews, or the Platform’s systems

Violation of these standards may result in immediate suspension or permanent termination of your account.

​

7. Direct Relationship with Clients

​

You contract directly with Clients for the services you provide. CrewTaskr is not a party to any agreement between you and a Client. You are fully responsible for fulfilling the terms of each job you accept, including quality of work, timeliness, and resolving any Client concerns.

8. Insurance and Risk of Loss

​

You are solely responsible for obtaining and maintaining all insurance necessary for the services you perform, including but not limited to:

• General liability insurance

• Commercial automobile insurance (if applicable)

• Workers’ compensation insurance (if required by law)

• Professional liability insurance (if applicable)

CrewTaskr does not provide any insurance coverage for Workers. You assume all risk of loss, damage, or injury arising from your services.

​

9. Ratings and Reviews

​

Clients may leave ratings and reviews after job completion. You acknowledge that these reviews may significantly impact your reputation and ability to obtain future work on the Platform. CrewTaskr may remove reviews that violate platform rules but has no obligation to do so.

​

10. Confidentiality

​

You may receive access to Clients’ private information (such as addresses, entry codes, contact details, and property information). You agree to use such information only as necessary to perform the agreed services and to maintain its confidentiality. You shall not disclose, sell, or misuse any Client information.

11. Indemnification

​

You agree to defend, indemnify, and hold harmless CrewTaskr, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your performance of services

• Your breach of this Agreement or the Terms of Service

• Any property damage, personal injury, or death caused by you

• Your violation of any law or third-party rights

12. Limitation of Liability

​

To the fullest extent permitted by law, CrewTaskr shall not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits or lost business opportunities.

CrewTaskr’s maximum aggregate liability to you shall not exceed the total platform fees paid by Clients to CrewTaskr for jobs you completed in the twelve (12) months preceding the claim.

13. Governing Law

​

This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Indiana.

​

14. Modifications

​

CrewTaskr may modify this Agreement at any time. We will notify you of material changes. Your continued use of the Platform as a Worker after such changes constitutes your acceptance of the revised Agreement.

​

15. Termination

​

CrewTaskr may suspend or terminate your access to the Platform at any time, with or without cause. You may stop using the Platform at any time. Certain provisions (including indemnification, limitation of liability, confidentiality, and governing law) shall survive termination.
